David acts for clients on a wide range of corporate, business and employment tax matters.

He has a particular specialism in helping clients to recruit, retain and incentives employees, and advising on complex employment tax matters.

David’s expertise includes designing and implementing employee share schemes, remuneration and benefit structures, frequently advising clients at all stages of their commercial journey on the optimal ways to reward the key members of the clients’ team who are or will contribute to that client’s success. His experience in structuring bespoke share and cash-based LTIPs, tax-advantaged incentive schemes and growth share plans is second to none.

David provides advice in the strategic use and operation of employee benefit trusts and Employee Ownership Trusts. He regularly gives specialist advice on navigating the intricacies of employee owned shares and options under the employment-related securities provisions in the course of M&A transactions.

He also advises employers and employees on salary sacrifice arrangements, employee benefits, settlement agreements and to the implications of relocating to or from the UK.

  1. Advising a client listed on TISE, and subsequently on AIM, on the design and implementation of tax-advantaged EMI, CSOP and SAYE share schemes and a supporting employee benefit trust [Likewise Plc].
  2. Designing and implementing a tax-advantaged SIP scheme and associated trust for an AIM-listed client in the automotive and aerospace industries [Surface Transforms Plc].
  3. Advising an international data centre provider on a bespoke package of share-based incentives for management in two key divisions within its corporate group [Sudlows Group]
  4. Advising a variety of clients on the interaction between salary sacrifice arrangements, national minimum wage legislation and termination payments regimes.
