Experience

1. Advising a UK based technology company on a group re-organisation involving a number of shareholders exiting the group including dealing with designing and implementing the new group structure and producing all documentation with a view of a future sale;
2. Managing the legal due diligence process in relation to initial competition aspects including clean team agreements and arrangements as well as managing the specialist’s review of the data room;
3. Advising a UK-based international development consultancy on a proposed acquisition of a community interest company including managing the submission of three NSI clearance applications;
4. Advising a recruitment agency on phase one of its auction sale including the negotiation of NDAs for each prospective bidder and preparing data-room transaction documents for bidders to review; and
5. Advising on the drafting of the partnership agreement and bespoke articles of association for a house-builder consortium.
